Throughout this study programme, participants will gain a detailed understanding of several features of company law, what constitutes a company, its incorporation process, and the manner in which it may be dissolved. Participants shall be guided to understand the individual legal personality which a company obtains upon inception, legally separate from any other legal person.

Due attention will also be given to the principle of unfair and wrongful trading, and several real cases will be analysed and discussed for students to join the concept of separate juridical personality with illicit practices relating to companies.

Participants will be aware of the laws regulating companies and similar commercial entities, whilst also understanding how such laws are implemented in practice, as well as being able to recognise issues arising in their company and will ensure that the laws are complied with.

Who should attend?

Anyone interested to understand Company Law, In-house lawyers, lawyers working in private practice, directors, company secretaries, CEO’s and business owners, accountants and chief financial officers, law students.

2 Advanced level subjects at Grade C or better, and 3 Intermediate level subjects at Grade C or better. 1 of any of these subjects must be Maltese or English

Mature/Adult Learning Student (must be 23 when course starts) subject to an interview by the Head of the Academy.

There will be two assignments and students will have a choice – they will be able to choose 2 assignments out of 4. Participants must also complete a 1-hour Multiple Choice Question (MCQ) examination.

During this study programme, among others, participants will be exposed to and understand:

  • The various Maltese corporate vehicles, including limited liability companies (public and private), partnerships en commandite and partnerships en nom collectif
  • Knowing how to incorporate a company, including what is to be included in a Memorandum & Articles of Association;
  • An overview of the principal duties, responsibilities and liabilities of directors.
  • Procedures of meetings and written resolutions;
  • Knowledge of the role and duties of shareholders, including shareholders’ rights, unfair prejudice and derivative actions;
  • Shares: the allotment thereof, pre-emption right, classes of shares;
  • The role and functions of the company secretary;
  • The function of the Registrar of Companies, including the investigative power.

The Malta Further and Higher Education Authority deems this Award to be at Level 5 in the Malta Qualifications Framework and the European Qualifications Framework for lifelong learning.
